SayPro Partnership Agreement Template
This Partnership Agreement (the “Agreement”) is entered into on this [Date], by and between:
SayPro Ads, a [Company Structure: e.g., corporation, LLC], with its principal office located at [Address], (“SayPro”) and
[Partner Name], a [Company Structure: e.g., corporation, LLC], with its principal office located at [Partner Address], (“Partner”).
1. Definitions
For the purposes of this Agreement, the following definitions shall apply:
- “Campaign” refers to the advertising initiatives and efforts run by SayPro Ads on behalf of the Partner, including but not limited to digital advertisements, geo-targeted content, and any other form of advertisement agreed upon by both parties.
- “Royalty” refers to the compensation to be shared between the parties, based on the revenue generated through advertising campaigns.
- “Metrics” refers to the agreed-upon performance indicators, such as impressions, click-through rates, conversions, engagement, etc.
- “Agreement Term” refers to the duration of this Agreement as outlined in Section 2.
2. Term of the Agreement
This Agreement shall commence on the effective date [Date], and will continue in effect for an initial term of [X months/years], unless terminated earlier as provided herein.
Renewal Options:
The Agreement may be renewed automatically for additional terms of [X months/years] unless either party notifies the other in writing at least [30/60] days before the end of the current term.
3. Partnership Scope and Responsibilities
A. SayPro Ads’ Responsibilities
- Campaign Design & Execution:
SayPro Ads will design, execute, and manage advertising campaigns tailored to the Partner’s needs. These campaigns may include geo-targeted ads, digital media buys, etc., aligned with the objectives of the Partner. - Reporting:
SayPro Ads shall provide regular performance reports, including campaign metrics and progress toward agreed-upon KPIs. - Optimization & Adjustments:
SayPro Ads shall analyze campaign performance and make necessary adjustments to improve outcomes, including revising targeting, messaging, or ad formats.
B. Partner’s Responsibilities
- Content & Approval:
The Partner will provide necessary materials for the campaigns (e.g., branding assets, promotional content), as well as timely feedback on content drafts. - Collaboration:
The Partner will collaborate with SayPro Ads in good faith to achieve campaign objectives, ensuring that the agreed-upon objectives are met. - Timely Payment:
The Partner will ensure timely payment for any fees associated with the campaign as outlined in Section 5.
4. Royalty and Revenue Sharing
- Royalty Structure:
The royalty percentage will be calculated based on the revenue generated through the campaigns. The royalty rate is as follows:- SayPro Ads: [X%]
- Partner: [Y%]
(Royalty splits can be adjusted based on performance metrics or mutually agreed changes.)
- Payment Terms:

- Conversion Rate: Percentage of clicks leading to desired actions (e.g., sign-ups, purchases).
- Geographic Targeting Performance: Engagement from the specific geographic areas outlined in the campaign plan.

- Reporting Frequency:

- Any other proprietary information related to the campaigns
This confidentiality obligation will remain in effect for [X years] after the termination of this Agreement.
7. Termination
This Agreement may be terminated under the following conditions:
- By mutual agreement: If both parties agree to terminate the Agreement, a written notice will be provided, and any outstanding fees or royalties will be settled.
- For cause: Either party may terminate this Agreement if the other party:

9. Indemnification and Liability

- Limitation of Liability:
Neither party shall be liable for indirect, incidental, or consequential damages arising from the performance or non-performance of this Agreement, except in cases of gross negligence or willful misconduct.
10. Miscellaneous
- Governing Law:
This Agreement shall be governed by the laws of [Jurisdiction], without regard to its conflict of laws principles. - Dispute Resolution:
