SayPro Grant Agreement Template
This Grant Agreement (the “Agreement”) is entered into as of [Date] by and between:
1. SayPro (the “Grantor”)

Together referred to as the “Parties.”
Recitals
WHEREAS, the Grantor has agreed to provide a grant to the Grantee in support of [state the purpose of the grant, e.g., a specific project or program];
WHEREAS, the Grantee has accepted the grant and agrees to use the funds in accordance with the terms and conditions set forth in this Agreement.
NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the Parties agree as follows:

3. Reporting Requirements
1. Progress Reports
The Grantee shall submit progress reports to the Grantor on a [quarterly/biannual/annual] basis, outlining the status of the project, expenditures, and any challenges faced. These reports must be submitted on or before [Due Date].
2. Final Report
At the conclusion of the Grant Period, the Grantee shall submit a final report detailing the outcomes of the funded project, including an itemized list of expenditures, a summary of accomplishments, and any other relevant metrics of success. 3. Audit and Access to Records
The Grantor or its agents may, at their own discretion, audit the Grantee’s use of the Grant. The Grantee agrees to provide the Grantor or its representatives with access to all financial records, project documentation, and any other relevant materials necessary to verify compliance with this Agreement.
4. Obligations of the Grantee
1. Project Completion
The Grantee agrees to complete the project funded by the Grant in accordance with the timeline and scope of work outlined in this Agreement.
2. Compliance with Laws
The Grantee agrees to comply with all applicable laws, regulations, and policies in connection with the use of the Grant funds.
3. Indemnification
The Grantee shall indemnify and hold harmless the Grantor from any and all claims, damages, or liabilities arising out of the Grantee’s actions or omissions related to the use of the Grant funds or the completion of the project.
4. Public Acknowledgement
The Grantee agrees to publicly acknowledge the Grantor’s support in all promotional materials, publications, and other public-facing communications related to the project. The Grantor’s logo and name must be used in accordance with the guidelines provided by the Grantor.
5. Termination
1. Termination for Cause
Either Party may terminate this Agreement if the other Party materially breaches any of its obligations under this Agreement and fails to remedy such breach within [number of days] days after receiving written notice of such breach.
2. Termination Without Cause
Either Party may terminate this Agreement without cause by providing [number of days] days written notice to the other Party.
3. Effect of Termination
In the event of termination, the Grantee shall return to the Grantor any unspent portion of the Grant funds. The Grantee is required to submit any final reports, as specified in section 3, within [number of days] days of termination.
6. Dispute Resolution
1. Negotiation
In the event of a dispute arising from this Agreement, the Parties agree to first attempt to resolve the matter through good-faith negotiations.
2. Mediation
If the dispute cannot be resolved through negotiation, the Parties agree to submit the matter to mediation with a mutually agreed-upon mediator before pursuing any legal action.
3. Arbitration
If the dispute remains unresolved following mediation, the Parties agree to resolve the matter through binding arbitration, conducted in accordance with the rules of the American Arbitration Association.
7. Miscellaneous
1. Entire Agreement
This Agreement constitutes the entire understanding between the Parties with respect to the subject matter hereof and supersedes all prior or contemporaneous oral or written communications.
2. Amendment
This Agreement may only be amended in writing, signed by both Parties.
3. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
4. Assignment
The Grantee may not assign this Agreement or any of its rights or obligations without the prior written consent of the Grantor.
5. Force Majeure
Neither Party shall be held liable for failure to perform their obligations under this Agreement due to circumstances beyond their reasonable control, including but not limited to natural disasters, strikes, or other events of force majeure.
