    SayPro Non-Disclosure Agreement (NDA)

    This Non-Disclosure Agreement (NDA) (“Agreement”) is entered into by and between the undersigned parties, collectively referred to as “Participants” and SayPro (“Company”), effective as of the 1st day of January 2025.

    Purpose:
    The purpose of this Agreement is to safeguard the intellectual property, ideas, and proprietary information shared during the SayPro Development Quarterly Innovation Challenges, a program by SayPro (“Challenge”). This Challenge aims to foster innovation and encourage participants to share their unique ideas and solutions, but the Company seeks to ensure that these ideas are protected and will not be disclosed or used without proper authorization.

    1. Confidential Information
    For the purpose of this Agreement, “Confidential Information” includes any and all information disclosed by participants or the Company during the course of the Challenge, whether oral, written, or electronic, that pertains to the participantsโ€™ ideas, concepts, prototypes, methodologies, business plans, financial data, or any other information that is designated as confidential or that reasonably should be understood as confidential.

    2. Obligations of Participants
    Participants agree to:

    • Maintain the confidentiality of all Confidential Information provided during the Challenge.
    • Not disclose, share, or distribute any Confidential Information to third parties without the prior written consent of the Company.
    • Use the Confidential Information solely for the purpose of participation in the Challenge and not for any other personal, commercial, or professional advantage.
    • Take reasonable precautions to prevent any unauthorized disclosure of Confidential Information.

    3. Exclusions from Confidential Information
    Confidential Information does not include information that:

    • Was already publicly available at the time of disclosure.
    • Becomes publicly available through no fault of the receiving party.
    • Is independently developed by the receiving party without the use of the Confidential Information.
    • Is disclosed with the prior written approval of the disclosing party.

    4. Duration of Confidentiality
    The obligations of confidentiality imposed by this Agreement shall remain in effect for a period of two (2) years from the date of disclosure of the Confidential Information or until such time as the Confidential Information no longer qualifies as confidential under the terms of this Agreement.

    5. Return or Destruction of Confidential Information
    Upon the termination or conclusion of the Challenge, or upon request by the Company, participants must promptly return or destroy any Confidential Information provided, including all copies, notes, and documents containing or reflecting such Confidential Information.

    6. Intellectual Property Ownership
    All intellectual property rights, including patents, copyrights, trademarks, and trade secrets related to the ideas and innovations developed during the Challenge, shall remain with the original owner (the participant). The Company will not claim ownership of these ideas but retains the right to use them with the participant’s permission for the purposes of the Challenge or future collaborations, subject to separate agreements.

    7. Breach of Agreement
    Any breach of this Agreement may result in immediate disqualification from the Challenge, and the Company reserves the right to pursue any legal remedies, including injunctive relief and damages, resulting from the breach.

    8. Governing Law and Dispute Resolution
    This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated. Any disputes arising out of or in connection with this Agreement shall be resolved through binding arbitration.

    9. Miscellaneous

    • This Agreement constitutes the entire understanding between the parties regarding confidentiality.
    • Any amendments to this Agreement must be made in writing and signed by both parties.
    • If any provision of this Agreement is found to be invalid or unenforceable, the remainder of the Agreement shall continue in full force and effect.
